These Terms and Conditions ("Terms") govern your use of Numerus's AI-native financial modeling platform ("Service") provided by Numerus AI, Inc. ("Company," "we," "us," or "our"). By accessing or using our Service, you agree to be bound by these Terms.
1. Definitions
- "Service": Numerus's AI-native financial modeling platform, including the Numerus DSL, and all related tools, interfaces, and APIs.
- "User Content": Your financial models, datasets, prompts, and other content you upload to or create within the Service.
- "AI-Generated Content": Output produced by Numerus's AI tools, including generated models, formulas, schedules, and analysis.
- "DSL": The Numerus domain-specific language used to define, version, and execute financial models.
- "You" / "Your": The individual or entity using the Service.
2. Service Description
2.1 Platform Overview
Numerus provides an AI-native platform for building, auditing, and maintaining financial models. The Service is purpose-built for finance teams, founders, and CFOs and includes:
- AI-assisted construction of financial models authored in the Numerus DSL and stored on Numerus’s servers.
- Reliable, auditable model generation with traceable assumptions and dependencies
- Scenario, sensitivity, and forecast analysis tools
- Collaboration, version control, and review workflows for financial models
- Secure model storage and processing
2.2 AI Technology
Our Service uses advanced AI models to assist with financial modeling tasks. Numerus is designed around a deterministic DSL and structured file format to deliver outputs that are auditable and verifiable, but no AI system is free from error and all output should be reviewed.
3. Acceptance and Eligibility
3.1 Agreement to Terms
By creating an account, accessing, or using our Service, you agree to be bound by these Terms.
3.2 Eligibility
You must be at least 18 years old and have the legal authority to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you are authorized to bind that entity to these Terms.
3.3 Account Registration
You must provide accurate, current, and complete account information and maintain the confidentiality of your credentials. You are responsible for all activity that occurs under your account.
4. Data Security and Privacy
4.1 Training on User Data
We do not use User Content from paid plans (Pro) to train our AI models. Paid customer data is excluded from model training, including during any trial periods associated with paid plans.
For users on our free tier, we may use User Content, including your files and DSL code, prompts you submit, and your interactions with our AI to train and improve our AI models. By using the free tier, you grant Numerus a worldwide, royalty-free license to use this content for the purpose of training, evaluating, and improving our models and the Service. If you do not want your content used for training, please use a paid plan.

4.2 Data Control
You retain full control and ownership of your data and can:
- Export models at any time to .xlsx
- Request deletion of your account and associated data by sending an email to support@numerus.one
- Control sharing and access permissions for your models
- Opt out of product analytics or usage tracking where applicable
4.3 Security Standards
We apply security practices appropriate to financial data:
- Encryption in transit and at rest
- Secure authentication protocols
- Isolated session and tenant processing
4.4 Third-Party Service Providers
To deliver the Service, we share limited data with vetted third-party providers, which may include providers for:
- AI inference (model hosting and execution)
- Cloud infrastructure and storage
- Authentication and identity management
- Subscription billing and payment processing
- Product analytics and error monitoring (with opt-out available where applicable)

5. Acceptable Use
5.1 Permitted Uses
The Service is intended for:
- Financial planning, modeling, and analysis
- Forecasting, budgeting, and scenario planning
- Internal business and investment analysis
- Educational and research purposes
5.2 Prohibited Uses
You agree not to:
- Upload harmful, malicious, or unauthorized content
- Use the Service for illegal, fraudulent, or deceptive purposes
- Reverse engineer, decompile, or attempt to derive the source code of the Service, the DSL runtime, or our AI models
- Share account credentials with unauthorized users
- Use the Service to develop a competing product or to benchmark against Numerus for the purpose of building a competitor
- Violate any applicable laws, regulations, or third-party rights
5.3 Content Responsibility
You confirm that any data you upload or process through the Service:
- Is lawfully owned or licensed by you
- Does not infringe any third-party rights
- Is authorized for processing by you and any data subjects involved
For free-tier users, you additionally confirm that you have the authority to grant the training license described in Section 4.1, and that submitting your content to Numerus for that purpose does not violate any obligation you owe to a third party (including your employer, clients, or counterparties). If you are bound by confidentiality, NDA, or similar obligations covering your content, do not submit it on a free-tier account.
6. Subscription and Payment Terms
6.1 Service Tiers
Numerus is offered across several tiers, which may include:
- Free tier
- Pro tier
Specific tier features, limits, and pricing are described on our website and may be updated from time to time.
6.2 Billing and Payments
- Subscription fees are billed in advance on a monthly or annual basis
- Fees are non-refundable except where required by law
- We may change pricing with reasonable advance notice
- Enterprise customers may have separate billing terms in their order form or master agreement
6.3 Usage and Fair Use
- Paid tiers may be subject to fair use limits on AI inference, model size, and storage
- Excessive, automated, or abusive use may result in throttling or suspension
7. Intellectual Property
7.1 Your Content
You retain all intellectual property rights in your User Content, including your files and models. You grant Numerus a limited, non-exclusive, worldwide license to host, store, process, and transmit your User Content for the purpose of providing and improving the Service to you. For free-tier users, this license extends to model training as described in Section 4.1; for paid users, the license is limited as set out in that section.
7.2 Our Technology
The Numerus platform, the Numerus DSL, our AI models, and all related software, documentation, and branding are owned by Numerus AI, Inc. and protected by intellectual property laws. Except as expressly granted in these Terms, you receive no rights in our technology and may not copy, distribute, modify, or create derivative works of it.
7.3 AI-Generated Content
AI-Generated Content is provided to you for your use, subject to these Terms. AI-Generated Content may contain inaccuracies, omissions, or errors, including in formulas, assumptions, and structural logic. You are solely responsible for reviewing and verifying any AI-Generated Content before relying on it for business, financial, or investment decisions.
8. Service Availability and Support
8.1 Uptime
We aim to provide reliable access to the Service but do not guarantee uninterrupted availability. The Service depends on third-party infrastructure and AI providers, and occasional disruptions or scheduled maintenance may occur.
8.2 Performance
We continuously test and improve the accuracy of our models and DSL runtime, but no AI-assisted financial modeling tool is guaranteed to be free from error.
8.3 Support
We offer support via email and the in-product help channels. Enterprise customers receive prioritized response times as set out in their order form.
9. Disclaimers and Limitations
9.1 "As Is" Disclaimer
The Service is provided "as is" and "as available" without warranties of any kind, express or implied. To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
9.2 AI Limitations
AI-Generated Content may include incorrect assumptions, miscalculations, or hallucinated outputs. You must validate any model, formula, projection, or recommendation before using it for business or financial decisions.
9.3 Liability Cap
To the maximum extent permitted by law, our total aggregate liability under these Terms shall not exceed the greater of (a) the amounts paid by you to us for the Service in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100). In no event shall we be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, or lost data.
9.4 Not Financial, Investment, or Legal Advice
The Service is a financial modeling tool. It does not provide investment, accounting, tax, legal, or other professional advice. You should consult qualified professionals before making decisions based on outputs from the Service.
10. Indemnification
You agree to indemnify, defend, and hold harmless Numerus AI, Inc. and its officers, directors, employees, and agents from and against any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of or related to (a) your use or misuse of the Service, (b) your User Content, or (c) your violation of these Terms or applicable law.
11. Termination
11.1 Your Right
You may cancel your account and request deletion of your data at any time by contacting us. You retain the right to export your created financial models.
11.2 Our Right
We may suspend or terminate your access to the Service for material violations of these Terms, abusive use, non-payment, or where required by law. We will provide reasonable notice where practicable.
11.3 Consequences
Upon termination:
- Your access to the Service ends
- Your data is deleted in accordance with our retention policy
- Any unpaid fees remain due and owing
- Sections that by their nature should survive termination (including IP, disclaimers, liability, indemnity, and dispute resolution) will survive
Note: where free-tier User Content has already been incorporated into trained model weights, it cannot be retrieved or removed from those weights, although we will delete the underlying source content from our systems on request.
12. Updates and Changes
12.1 Service Improvements
We may add, modify, or remove features, fix bugs, and update the DSL, and underlying AI models to improve the Service.
12.2 Terms Changes
We may update these Terms from time to time. Material changes will be communicated through the Service or by email, and your continued use of the Service after changes take effect constitutes acceptance of the updated Terms. Previous versions are available on request.
13. Compliance and Export Controls
13.1 Export Law Compliance
You agree to comply with all applicable U.S. and international export control, sanctions, and trade laws in your use of the Service.
13.2 Regulated Industries
If you operate in a regulated industry (including financial services, healthcare, or government), you are responsible for determining whether the Service is appropriate for your compliance environment and for obtaining any required approvals.
13.3 Data Residency
We may offer data residency options where feasible. Specific arrangements are available to Enterprise customers under separate agreements.
14. Enterprise Agreements
14.1 Custom Contracts
Enterprise customers may negotiate additional terms in a separate order form or master agreement, including:
- Dedicated infrastructure or single-tenant deployments
- Custom pricing and committed-use discounts
- Integration support and professional services
- API access and white-label options
- Custom SLAs, security reviews, and DPAs
14.2 API Terms
Use of the Numerus API is subject to documented rate limits, authentication requirements, and security protocols. We may update these from time to time and will provide reasonable notice of material changes.
15. Dispute Resolution
15.1 Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of laws principles.
15.2 Dispute Process
The parties agree to attempt to resolve any dispute informally through good-faith negotiation before initiating formal proceedings. Any unresolved dispute shall be submitted to binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration will take place in Delaware unless the parties agree otherwise. Judgment on the award may be entered in any court of competent jurisdiction.
15.3 Class Action Waiver
To the maximum extent permitted by law, you and Numerus each waive the right to participate in any class, collective, or representative action against the other.
16. Miscellaneous
16.1 Entire Agreement
These Terms, together with our Privacy Policy and any applicable order form or addendum, constitute the entire agreement between you and Numerus AI, Inc. with respect to the Service and supersede any prior agreements.
16.2 Severability
If any provision of these Terms is held to be unenforceable, the remaining provisions will remain in full force and effect.
16.3 Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, financing, or sale of assets.
16.4 Force Majeure
We are not liable for delays or failures in performance resulting from causes beyond our reasonable control, including natural disasters, war, terrorism, civil unrest, labor disputes, and failures of third-party infrastructure or AI providers.
